This Non-Advisory Agreement is signed by every mentor before publication and is the companion to the Risk Disclosure. It confirms that mentor content on Mentorly is general education only, never personalised investment advice, and that no mentor will operate as an unregistered adviser, broker, or fund manager on the Platform.
Mentorly is not, and shall not be represented as, an investment adviser, broker-dealer, commodity-trading adviser, financial planner, or any other regulated financial intermediary. Mentors who use Mentorly to reach students must operate within the same constraints unless they hold the licences required in the relevant jurisdiction. This Agreement makes those constraints explicit so that students, regulators, and counterparties understand the boundary of what Mentorly content is and is not.
You will not provide personalised investment advice via Mentorly or to any student you reached through Mentorly unless you are licensed to do so in the recipient's jurisdiction and you have performed and documented the suitability and know-your-customer procedures the licence requires. Examples of conduct that crosses the line and is therefore prohibited unless you are licensed:
General education and idea-sharing, for example, public watchlists, market commentary, recorded courses, or live calls that present the same content to every viewer, remain permitted, provided they are clearly labelled as general education and accompanied by the standard performance disclaimer.
Nothing on Mentorly creates a fiduciary, advisory, or trustee relationship between mentor and student, or between Mentorly and any user. Mentors do not owe students the duties owed by a registered investment adviser. Students should not rely on a mentor as if a fiduciary duty existed. If you want a fiduciary relationship with someone, hire a licensed adviser.
You will not, through Mentorly or any channel reached via Mentorly, solicit, accept, pool, manage, or invest funds on behalf of any student or third party. You will not operate a fund, copy-trading product, signal-following service that requires the student to grant trading authority over their account, or any other arrangement that effectively gives you discretion over someone else's capital, unless you are properly licensed and registered for that activity in every jurisdiction where you operate or solicit. Mentorly will delist any mentor we reasonably believe is breaching this clause and may report the breach to relevant regulators.
You are solely responsible for determining the licensing, registration, advertising, and consumer-protection rules that apply in every jurisdiction where you reach students or solicit business. Mentorly does not assess your licensing status. You will not represent that Mentorly has assessed it. The fact that Mentorly publishes a mentor profile is not a representation that the mentor is licensed.
You will not make, allow, or fail to remove from your profile or funnel claims that are typically prohibited or restricted by financial regulators, including:
By using Mentorly as a student, prospective student, or general user you acknowledge that no content on the Platform constitutes personalised investment advice and that no mentor on Mentorly is acting as your fiduciary unless you have signed a separate, written advisory agreement with that mentor as a licensed adviser. You will treat all mentor content as general education and you will perform your own due diligence before acting on any of it.
Mentorly may, on reasonable belief that a mentor has breached this Agreement, suspend the mentor's listing, withhold pending commissions, factually publish the reason for the action, and cooperate with regulator inquiries. The mentor remains responsible for indemnifying Mentorly under the Mentor Agreement for any third-party claim arising from the breach.
