This Mentor Agreement applies to anyone who applies to be, or is approved as, a mentor on Mentorly. It supplements the Terms of Service and must be accepted, alongside the Risk Disclosure and Non-Advisory Agreement, before any mentor profile can be published.
Mentorly is a neutral directory that lists trading mentors. This Agreement defines what a mentor must do, must not do, and must accept in order to be listed and remain listed. Where this Agreement and the Terms of Service conflict, this Agreement controls with respect to mentor conduct.
You operate as an independent third-party service provider. Nothing in this Agreement creates an employment, partnership, joint-venture, agency, or franchise relationship between you and Mentorly. You are solely responsible for your own taxes, regulatory registrations, professional licences (if required by your jurisdiction), and operating expenses. You may not represent yourself as an employee, partner, agent, or affiliate of Mentorly.
Before publication you must progress through and complete every stage of the onboarding lifecycle: Application → Application Review → Conditional Acceptance → Onboarding (profile + agreements) → Identity Verification (Stripe Identity) → Performance Proof (private documents and screenshots) → Verification Call (live screen-share) → Post-Verification Declaration → Final Review → Published.
You acknowledge that:
You represent and warrant that every piece of data you submit to Mentorly, CSVs, screenshots, broker statements, application answers, profile bio, links, claims of student count or pricing, is accurate, truthful, current, your own, and not misleading. You will not:
Submission of false or misleading data is a material breach. Consequences include account suspension, public delisting with a factual reason note, forfeiture of any commissions accrued in the relevant period, and referral to regulators or law enforcement.
You will not, through Mentorly or in connection with your Mentorly profile or referred students:
You confirm you have read and accepted the separate Non-Advisory Agreement.
You will not make, and will not allow your profile or referral funnels to make, claims that are forbidden by FTC, CFTC, SEC, FCA, ESMA, or equivalent regulators in your operating jurisdictions, including:
Where you publish earnings, performance, or testimonial claims you must include the standard performance disclaimer: "Self-reported. Reviewed for consistency. Not audited. Past performance does not guarantee future results."
Mentorly's revenue from mentors comes only from:
Neither fee buys you a higher ranking. Mentorly does not sell placements, boosts, or sponsored slots and does not allow paid skipping of any onboarding stage. Rankings are produced algorithmically from self-reported data, student counts, retention, and review signals. Any mentor or third party who claims otherwise is in breach of this Agreement.
Listing fees are billed monthly in advance through Stripe. By providing payment details you authorise Stripe to charge you on each renewal date until you cancel.
You may cancel renewal at any time from the Billing section of your dashboard. Cancellation takes effect at the end of the current paid period; you retain access until then. Mentorly records the cancellation timestamp.
Listing fees are non-refundable for the current paid period except where required by law or expressly granted in the Refund Policy. Commissions on student conversions are subject to the chargeback / refund handling described in the Refund Policy.
You retain ownership of the content you submit (bio, headline, images, links, performance metrics). You grant Mentorly a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, reproduce, publicly display, distribute, translate, adapt, moderate, and remove that content for the purpose of operating, marketing, and improving the Platform. The licence terminates within a reasonable time after you delete content or close your account, except for archival copies retained for legal or audit purposes.
You may state on your own surfaces that you are listed on Mentorly and link to your Mentorly profile. You may display the "Identity Verified" badge only if you currently hold that status, and only in a way that does not imply Mentorly endorses, certifies, or audits your performance. You may not use Mentorly marks in a way that is misleading, that suggests sponsorship or partnership beyond a directory listing, or that violates the Terms of Service. Mentorly may revoke this trademark licence at any time.
This Agreement contains no non-disparagement clause. You retain the right to publicly criticise Mentorly, file regulator complaints, post honest reviews, and discuss any aspect of your experience. Mentorly will not retaliate against a mentor for honest public commentary or for exercising legal rights. The reverse also holds: Mentorly retains the right to publicly state, factually, the reason for any termination or delisting.
Any commercial relationship between you and a student, including the contract, the price, the deliverables, refunds, support, dispute resolution, and tax compliance, is solely between you and the student. Mentorly is not a party to that relationship and assumes no responsibility for its performance. You are responsible for clearly disclosing your terms, your risk warnings, and any income claims to your students.
You will comply with all laws and regulations applicable to your activities, including securities, commodities, tax, advertising, consumer-protection, and AML laws in every jurisdiction where you operate. You will respond promptly and in good faith to any regulator inquiry concerning your Mentorly listing. Mentorly may, on receipt of a regulator request or court order, share information about your account with the requesting authority and may suspend or delist you pending resolution.
For any personal data you collect from your students through your own external services (Whop, Discord, Telegram, your mailing list), you are the independent data controller. Mentorly is not a joint controller and is not responsible for that processing. You will publish your own privacy notice, honour data-subject rights, and where required maintain processing records.
Mentorly may suspend, restrict, delist, or terminate your account at any time, with or without notice, including for: (a) breach of this Agreement, the Terms, or any other policy; (b) submission of false or misleading data; (c) regulator inquiry or court order; (d) repeated unresolved disputes from students; (e) any conduct that, in Mentorly's reasonable judgment, harms users or the Platform's reputation. You may also close your own account at any time by emailing support@mentorly.io. Closure does not entitle you to a refund of fees paid for the current period.
You will defend, indemnify, and hold harmless Mentorly and its officers, directors, employees, agents, contractors, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) any breach of this Agreement; (b) your representations, warranties, or covenants in this Agreement; (c) any service, product, claim, or content you provide to a student; (d) any allegation by a student, regulator, or third party arising from your conduct; (e) any data you submit to Mentorly. Mentorly may, at your expense, assume the exclusive defence of any matter for which you are required to indemnify us.
Sections that by their nature should survive termination, including Data Accuracy, Indemnity, Trademark Licence revocation, Survival itself, and any cause of action that has accrued, survive termination of this Agreement and your account.
